<p>Roles &#038; Responsibilities: </p>
<p>1.Analyse, identify &#038; manage the legal risks &#038; implications of all of the business transactions.<br />
2.Provide legal &#038; risk advice to the senior management on all matters affecting their individual departmental transactions.<br />
3.Handling the vetting of high value legal documents, drafted by legal professionals of business partners/prospective business partners.<br />
4.Finalizing terms &#038; conditions of contracts, settlement agreements; performing analysis and negotiation of high value contracts &#038;b agreements.<br />
5.Handling disputes, litigation and arbitration.<br />
6.Instruct and assist external legal partners where necessary.</p>

<p>Overall Finance and Accounts Function Role and Responsibility:</p>
<p>Responsible for all aspects of Finance &#038; Accounts such as Strategy Planning, M&#038;A, Due Diligence, Fund Raising including ADR and GDR and ECB, Working Capital, IPO, Banking, Fund Management, Taxation, Budgeting, Costing, MIS, Statutory Compliance, Consolidation of Accounts, Audits, P&#038;L Report, Investment banking etc.</p>
<p>Strategic Role:-<br />
Partner with the organization on all operational and strategic issues as they arise; provide strategic recommendations based on financial analysis and projections, cost identification and allocation, and revenue/expense analysis.</p>
<p>Financial and Operational Management:- </p>
<p>Oversee budgeting, and the implementation of budgets, so as to monitor progress and present operational metrics both internally and externally.<br />
Ensure that finance staff maintains financial record systems in accordance with Generally Accepted Accounting Principles (GAAP), and monitor the use of all funds.<br />
Oversee the preparation and approval of all financial reporting materials and metrics for funding organizations; prepare and communicate monthly and annual financial statements.</p>
<p>Monitoring compliance :-</p>
<p>Monitor banking activities, and ensuring adequate cash flow to meet the organization&#8217;s needs.<br />
Oversee the management and coordination of all fiscal reporting activities for the organization including: organizational revenue/expense and balance sheet reports, reports to funding agencies, development and monitoring of organizational and contract/grant budgets.<br />
Oversee the production of monthly reports including reconciliations with funders, as well as financial statements and cash flow projections for use by management, as well as the Audit/Finance Committee and Board of Directors.<br />
Oversee Accounts Payable and Accounts Receivable and ensure a disaster recovery plan is in place.<br />
To ensure all statutory compliances (applicable to the organisation) effectively complied such as Income Tax, VAT, Service Tax, Sales Tax etc</p>
<p>Experience / skill sets :-</p>
<p>1. Prior experience as a CFO /Finance Head of high growth oriented professionally managed organisation<br />
2. Business skills &#8211; Sound commercial acumen, debt management capabilities, Financial Planning and Strategy, Managing Profitability, Strategic Planning, Vision, Quality Management, Promoting Process Improvement, Forecasting, Corporate Finance, Developing Budgets, Investment Banking, Merger and Acquisition Financial Skills, Dealing with Complexity.</p>

<p>a. Accountable for tax planning and meeting with statutory compliance related to indirect taxes.<br />

c. Managing legal disputes arising with Service Tax &#038; Excise authorities, drafting replies to Show Cause Notices, Audit Objections and other communication issued by Statutory Authorities.<br />
d. Ensure Indirect Tax Assessments, review necessary details and monitor different procedures / practices to ensure statutory compliance, tax liability and preparing of returns.</p>
<p>Candidate Profile</p>
<p> CA with minimum 5 years of post qualification experience preferably from Steel/ Metals &#038; Mining/ Cement industry<br />
 In-depth knowledge of Service Tax, VAT, CST, Excise rules, procedures and compliance, coupled with experience in<br />
 Conversant in Service Tax &#038; Excise rules, procedures &#038; compliance<br />
 Adept in handling &#038; setting disputes with Service Tax &#038; Excise Authorities<br />
 Proficient in drafting &#038; abreast with latest amendments in laws and statutory compliances</p>
